Terms and Conditions, TFZ Offshore Safety Conference

By registering for the Event you are agreeing to these terms, which form a legally binding contract between Oil Gas Denmark and the registered Exhibitor/Sponsor, or participant. If you are registering on behalf of another party, it is your responsibility to ensure that such party is aware of these terms and accepts them; by completing the registration you are warranting that you have made the party aware of these terms and that they have accepted these terms.
 

  1. Exhibitor/Sponsor Cancellation Policy
  • There are no refunds for cancellations by Exhibitor/Sponsor. If an Exhibitor/Sponsor cancels at any time, for any reason, the Exhibitor/Sponsor will be responsible for the entire Exhibitor/Sponsor fee.
  • Conferences and programs subject to change. Oil Gas Denmark reserves the right to relocate or reschedule programs. If a rescheduled conference or conference program conflicts with an Exhibitor’s/Sponsor’s schedule Oil Gas Denmark and Exhibitor/Sponsor shall in good faith seek an amicable solution.
 
  1. Payment Terms
  • Payments for all Exhibitors/Sponsorships are due within net 14 days of registration.
     
  1.  Material for conference magazine 
  • We will publish a conference magazine on the day of the conference. The magazine will include advertisements from all sponsors. As a registered sponsor, space for an ad will be reserved in the magazine as agreed from time to time.
  • You are invited to design your own ad, which must be submitted in due time to the Oil Gas Denmark secretariat in a printable format and quality acceptable to Oil Gas Denmark. If the secretariat has not received any ad, your company logo will be printed.
     
  1. Exhibitor/Sponsor Requirements; Prohibited Conduct
  • Unethical Marketing. Oil Gas Denmark reserves the right to deny admission to anyone who, in Oil Gas Denmark’s sole discretion, engages in or is reputed to engage in unethical marketing practices.
  • Booth Events/Attractions. Oil Gas Denmark encourage Exhibitor/Sponsor to host relevant booth events, but reserve the right to terminate any such event if Exhibitor/Sponsor has not informed Oil Gas Denmark in due time or If any such event is in Oil Gas Denmark’s sole opinion not relevant for the exhibition.
  • Exhibitor/Sponsor is advised to contact Oil Gas Denmark about the planning of any such event in due time and no later than one day prior to the event in order to ensure that the necessary preparations are made.
     
  1. Exhibit Hall Regulations
  • Each standard booth area will be marked with tape on the floor.
  • The exact booth allocated for the individual Exhibitor/Sponsor will be decided by Oil Gas Denmark unless anything else has been negotiated.
  • Exhibitors/Sponsors will have access to the venue the day before the conference between 12:00 and 18:00 in order to set up their booth. Alternatively, the booth can be set up on the conference date between 07:00 and 08:30. Staff will be on location to help you find your designated area.  
  • It is required that booths are staffed during all conference breaks. 
  • As standard booth equipment, there will be access to tables, electricity and wireless internet. All exhibitors are encouraged to bring own furniture or booth equipment.
  • Any additional requests regarding special requirements should be directed toward Esbjerg Performing Arts Centre.
     
  1. Exhibition Area Code and Sound Levels:
  • Any booth, materials or other equipment belonging to Exhibitor/Sponsor or under the control of Exhibitor/Sponsor, as applicable, shall at all-time be secured and placed in a safe and responsible way. Any harm or injury to any person attending the event caused by Exhibitor’s/Sponsor’s negligence shall be at Exhibitor’s/Sponsor’s risk and Exhibitor/Sponsor shall indemnify and hold harmless Oil Gas Denmark for any claim in this respect. Furthermore, Exhibitor/Sponsor shall be responsible for ensuring relevant third party insurance.
  • Materials must not block aisles, fire exits, or extinguishers. All exhibition materials and electrical wiring must comply with fire and safety code. Exposed areas of booth displays must be finished and present an attractive appearance when viewed from aisles or adjoining booths.
  • Exhibition space sound level must not exceed customary decibels so as not to disturb other exhibitors. Placement of signage or Distribution of advertisements and/or promotional material of any kind may be made only within the booth assigned to the exhibitor presenting such material. Failure to abide by these conditions, as determined in Oil Gas Denmark’s sole discretion, may result in the closing of an exhibit/booth.
     
  1. Outside Food and Beverage Policy:
  • Exhibitors/Sponsors, who bring employees to the conference solely to staff the booth, will be charged a meal fee of DKK 500 excluding VAT for each person. If members of the booth staff attend the conference, they have to register for the conference.
     
  1. Insurance.
  • The Exhibitor/Sponsor understands and agrees that neither Oil Gas Denmark nor the entity physically hosting the Event (Esbjerg Performing Arts Centre) maintains insurance covering the Exhibitor’s/Sponsor’s liability or property or third parties.
     
  1. Limitation of Liability; Disclaimer of Damages
  • Oil Gas Denmark and Esbjerg Performing Arts Centre assume no liability for any loss, damage, or injury to any property of the Exhibitor/sponsor or to any of its employees, or contractors, whether attributable to accident, fire, water, theft, or any other cause whatsoever.
  • Oil Gas Denmark gives no warranties in respect of any aspect of the Event or any materials related thereto or offered at the Event and, to the fullest extent possible under the laws governing this Agreement, disclaims all implied warranties, including but not limited to warranties of fitness for a particular purpose, accuracy, timeliness, and merchantability. The Event is provided on an “as-is” basis. Oil Gas Denmark does not accept any responsibility or liability for reliance by you or any person on any aspect of the Event or any information provided at the Event.
  • Except as required by law, neither Oil Gas Denmark nor its affiliates shall be liable for any direct, indirect, special, incidental, or consequential costs, damages, or losses arising directly or indirectly from the Event or any other aspect related thereto or in connection with this Agreement.
  • The maximum aggregate liability of Oil Gas Denmark for any claim in any way connected with, or arising from, the Event or this Agreement, whether in contract, tort, or otherwise (including any negligent act or omission), shall be limited to the amount paid by you to Oil Gas Denmark under this Agreement to be an Exhibitor/Sponsor for the Event.
     
  1. Indemnification
  • Exhibitor/Sponsor is liable for any damage caused to Esbjerg Performing Arts Centre floors, walls, or columns, or to standard booth equipment, or to other exhibitors’ property. Exhibitor/Sponsor assumes the entire responsibility and liability for losses, damages, and claims arising out of injury or damages to displays, equipment, and other property brought into the Facility.
     
  1. Miscellaneous
  • Oil Gas Denmark’s failure to exercise any right provided for herein shall not be deemed a waiver of any further rights hereunder. Oil Gas Denmark shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond Oil Gas Denmark’s reasonable control. If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable.
     
  1.  Governing law and arbitration
  • Any dispute arising out of, or in connection with, these terms and conditions including disputes regarding this arbitration clause and the applicable arbitration procedure shall be finally settled by arbitration in accordance with the Rules of Procedure of the Danish Institute of Arbitration (Danish Arbitration) in force at the time of the commencement of such proceedings.
  • These terms and conditions including disputes regarding this arbitration clause and the applicable arbitration procedure, is governed by Danish law, irrespective of any conflict of laws rules, which could otherwise result in the application of the laws of another jurisdiction to the dispute.
